PRODUCT-SPECIFIC SCHEDULE

This Product-Specific Schedule ("Schedule") forms part of the Agreement between Company and Customer and is incorporated into the Order Form referencing this Schedule or, if not so referenced, otherwise incorporated into and made part of the Agreement in accordance with Section 16.18 (Incorporation of Schedules) of the Agreement. Capitalized terms used but not defined herein shall have the meaning given in the Agreement.

1. Definitions
   
   1.1 Agent: means an individual end user assigned a paid seat purchased by Customer for the applicable Service.
   
   1.2 On-Platform Call Minutes: means the number of minutes of voice calls made or received by Agents using the Unaric Voice (Unify) service through the Unaric client within Salesforce, as determined by Company’s systems and records.
   
   1.3 Off-Platform Calls: means calls made or received outside the Unaric Voice (Unify) client within Salesforce.

2. Product-Specific Fees and Usage:
   ‍
   2.1 Usage Allowance: Customer’s use of the applicable Service is subject to a usage allowance of 5,000 On-Platform Call Minutes per paid Agent seat per calendar month.
   
   2.2 Cumulative Usage Calculation: Unless otherwise expressly stated in the applicable Order Form, the usage allowance shall be calculated cumulatively across all paid Agent seats held by Customer during the applicable calendar month. The total included On Platform Call Minutes for each calendar month shall therefore equal the number of such paid Agent seats multiplied by 5,000 minutes.
   
   2.3 Off-Platform Calls: For clarification, Off-Platform Calls do not count towards the usage allowance set out in this Schedule.
   
   2.4 Excess Usage Charges: If Customer’s use of the applicable Service exceeds the applicable usage allowance in any calendar month, Company may charge Customer for such excess usage at a rate of USD 0.006 per excess On-Platform Call Minute. Such excess usage charges shall be invoiced in arrears and shall be payable in accordance with the Agreement.
   
   2.5 Usage Measurement: Customer acknowledges and agrees that usage of the applicable Service for purposes of this Schedule shall be measured by reference to Company’s applicable systems and records, which shall be used as the basis for determining Customer’s usage under this Schedule.

3. Miscellaneous
   
   3.1 Amendments to and Updates of the terms of this Schedule: Company may amend or update the terms of the Schedule from time to time in its sole discretion. Amendments will become effective upon posting of an updated version of the Schedule at www.unaric.com/policies/product-schedule-unaric-voice-unify, and the “Last Updated” date above will reflect the date of the latest amendment. Customer is responsible for reviewing the Schedule periodically to stay informed of any changes. Continued access to or use of the Services after such posting shall constitute acceptance of the amended terms, subject to the limitations set out below. For the avoidance of doubt, this section 3.1 does not apply to Order Forms or to changes to fees, subscription terms, or renewal periods specified in an active Order Form, which may only be amended by mutual written agreement of the parties. Amended terms shall not apply to any active Order Form during its current term, but shall apply to any Renewal Term or new Order Form entered into after the effective date of the amendment.
   
   3.2 Term and Termination:
   
   This Schedule shall continue for the duration of the applicable subscription term as set forth in the applicable Order Form and shall renew in accordance with the Agreement. For clarification, this Schedule shall automatically expire upon expiration or termination of the Agreement or the applicable Order Form to which it relates without the need for further notice.
   
   3.3 Conflict
   ‍
   In the event of a conflict between this Schedule and the Agreement, the terms of this Schedule shall govern with respect to the applicable Service only.
