DESELECT PRODUCTS

This Product-Specific Schedule ("Schedule") forms part of the Agreement between Company and Customer and is incorporated into the Order Form referencing this Schedule or, if not so referenced, otherwise incorporated into and made part of the Agreement in accordance with Section 16.18 (Incorporation of Schedules) of the Agreement. Capitalized terms used but not defined herein shall have the meaning given in the Agreement.

Important Notice Regarding Changes

PLEASE NOTE THAT COMPANY RESERVES THE RIGHT TO AND MAY UPDATE OR AMEND THIS SCHEDULE FROM TIME TO TIME IN ACCORDANCE WITH SECTION 6.1 [AMENDMENTS TO AND UPDATES OF THE TERMS OF THIS SCHEDULE] OF THIS SCHEDULE. CUSTOMERS ARE ENCOURAGED TO REVIEW THIS SCHEDULE AND THE AGREEMENT REGULARLY TO STAY INFORMED OF ANY CHANGES. THE DATE OF THE LAST UPDATE TO THIS SCHEDULE IS INDICATED ABOVE. CONTINUED ACCESS TO OR USE OF THE APPLICABLE DESELECT PRODUCTS AFTER ANY SUCH UPDATE CONSTITUTES ACCEPTANCE OF THE AMENDED TERMS.

AGREED TERMS

  1. Definitions:

    1.1 AI Features: means any artificial intelligence, machine learning, generative AI or similar functionality made available to Customer as part of, or in connection with, a DESelect Product.
    1.2 DESelect Products: means the DESelect products and related features or functionality identified in an applicable Order Form, including DESelect Segment, DESelect Engage, DESelect Search and any related modules or features made available by Company from time to time, each a DESelect Product.
    1.3 Salesforce Marketing Cloud or SFMC: means the Salesforce Marketing Cloud environment, account, instance or related Salesforce services used by Customer in connection with the DESelect Products.
  2. Product-Specific Dependencies:

    In addition to the provisions of the Agreement relating to Third-Party Applications and third- party platforms, Customer acknowledges that the DESelect Products are designed to operate with Salesforce Marketing Cloud. The availability and proper operation of the DESelect Products depends on Customer maintaining, configuring and using Salesforce Marketing Cloud
    and related third-party services in accordance with the applicable requirements.

    Customer is responsible for maintaining the required Salesforce Marketing Cloud licences, accounts, permissions, access rights, business-unit access, API integrations, data extensions, automations, journeys, folders and related configurations required for the applicable DESelect
    Product.

    Company is not responsible for any failure, delay, unavailability, loss of functionality or other issue caused by Salesforce Marketing Cloud, Customer’s Salesforce Marketing Cloud configuration, Customer Data, Customer’s users, Customer’s systems, or any third-party service outside Company’s control.

  3. Security and Compliance:

    3.1 Company shall maintain appropriate technical and organisational measures designed to protect the DESelect Products and Customer Data processed in connection with the DESelect Products or procure that its Affiliates and relevant service providers maintain such measures, in each case in accordance with the Agreement and the DPA.

    3.2 Without limiting the DPA, Company may make available information regarding applicable security controls, certifications, audit reports and hosting environments for the DESelect Products, including information security management certifications (such as ISO 27001), independent audit reports (such as SOC 2 Type II), and evidence of compliance with applicable data protection and privacy frameworks (which may include the GDPR, CCPA, HIPAA, or other similar frameworks, where applicable to the relevant Customer or Services), in each case where available and subject to applicable confidentiality requirements.

    3.3 Customer acknowledges that any such certifications, reports or assurance materials may relate to the applicable DESelect Product, Company's Affiliates, hosting providers, infrastructure providers or other service providers involved in the provision of the DESelect Products, and not necessarily to Company as a separate legal entity, and that such certifications, reports, and compliance frameworks may be updated, renewed, added to, or replaced by Company or its Affiliates from time to time in the ordinary course of business.

    3.4 The DESelect Products are hosted and operated using the infrastructure and personnel of DESelect BV, a company incorporated in Belgium and an Affiliate of Company, acting as a sub-processor under the DPA. Customer Data processed in connection with the DESelect Products is processed in one or more jurisdictions, which may include the United Kingdom, the European Economic Area, and any other jurisdiction identified in the DPA and/or the applicable Sub-processor List from time to time. Company may, in its sole discretion and without amendment to this Schedule, change the Affiliate, sub-processor, hosting provider, infrastructure provider, or processing location or locations used to host or operate the DESelect Products, provided that any such change remains subject to the terms of the DPA, including the Sub-processor List update and objection procedures set out therein.

  4. AI Features:

    If and to the extent AI Features are made available to Customer as part of, or in connection with, a DESelect Product, such AI Features may be subject to additional usage restrictions, technical limitations, security requirements and Documentation made available by Company from time to time.

    Customer acknowledges that AI Features may require or depend on the use of third-party service providers and may be subject to separate enablement, configuration, availability, usage and data-processing requirements or limitations.

  5. Service Level Agreement (“SLA”):

    5.1 Company shall provide at least a 99.5% service uptime availability level for the DESelect Products. In calculating the service availability level, the following interruptions or downtime shall be disregarded:

    (a) interruptions or downtime caused by Salesforce Marketing Cloud or any other Third-Party Application or third-party service outside Company’s control;

    (b) interruptions or downtime caused by Customer’s systems, networks, data, permissions, configurations, integrations, users or use of the DESelect Products other than in accordance with the Agreement or Documentation;

    (c) scheduled maintenance or emergency maintenance required for security, availability or operational reasons;

    (d) maintenance which is requested or caused by Customer; and

    (e) any Force Majeure Event.

    5.2 The service uptime availability level shall be based on the monthly average percentage availability, calculated at the end of each month as the total actual uptime minutes during the month divided by the total possible uptime minutes in the month.

    5.3 Downtime does not include quality of service issues that cause minor or partial loss of functionality, intermittent problems or minor degradation of operations which do not prevent the applicable DESelect Product from being used in the manner intended. In such case, Customer may report the issue in accordance with the support processes set out in the Agreement.

    5.4 Company will use its reasonable endeavours to procure that scheduled maintenance will only occur outside of normal business hours. If commercially reasonable, Company shall provide at least one ( 1 ) week’s notice for any scheduled maintenance and its intended time window.

    5.5 If Company fails to meet the service availability level set out in section 5.1 in any given month, and provided that Customer submits a written request within one (1) month following the month in which the incident occurred, Company shall credit Customer with one twelfth (1/12) of the fees payable for the affected DESelect Product for the applicable subscription year. The service credit described in this clause shall constitute Customer’s sole and exclusive remedy for any failure to meet the service availability levels set out in this SLA.

  6. Miscellaneous:

    6.1 Amendments to and Updates of the terms of this Schedule: Company may amend or update the terms of the Schedule from time to time in its sole discretion. Amendments will become effective upon posting of an updated version of the Schedule at www.unaric.com/policies/product-schedule-deselect-products, and the “Last Updated” date above will reflect the date of the latest amendment. Customer is responsible for reviewing the Schedule periodically to stay informed of any changes. Continued access to or use of the applicable DESelect Product after such posting shall constitute acceptance of the amended terms, subject to the limitations set out below. For the avoidance of doubt, this section 6.1 does not apply to Order Forms or to changes to fees, subscription terms, or renewal periods specified in an active Order Form, which may only be amended by mutual written agreement of the parties. Amended terms shall not apply to any active Order Form during its current term but shall apply to any Renewal Term or new Order Form entered into after the effective date of the
    amendment.

    6.2 Term and Termination:

    This Schedule shall continue for the duration of the applicable subscription term as set forth in the applicable Order Form and shall renew in accordance with the Agreement. For clarification, this Schedule shall automatically expire upon expiration or termination of the Agreement or the applicable Order Form to which it relates without the need for further notice.

    6.3 Conflict:

    In the event of a conflict between this Schedule and the Agreement, the terms of this Schedule shall govern with respect to the applicable DESelect Product only.
